(Nasdaq:HCII - News), a Florida-based insurance holding company, today announced that its board of directors has declared a regular quarterly cash dividend in the amount of 10 cents per share. The dividend will be paid Mar. 18, 2011 to shareholders of record on the close of business Feb. 18, 2011.

Enstar Group Limited Announces Proposed Acquisition
Enstar Group Limited ("Enstar") (Nasdaq:ESGR - News) today announced that, through one of its wholly-owned subsidiaries, it has entered into a definitive agreement for the purchase of Clarendon National Insurance Company from Clarendon Insurance Group, Inc., an affiliate of Hannover Re. The purchase price is approximately $200 million and is expected to be financed in part by a bank loan facility to be finalized before closing and in part from cash on hand.
Completion of the transaction is conditioned on, among other things, regulatory approval and satisfaction of various customary closing conditions. The transaction is expected to close in the second quarter of 2011.
Enstar, a Bermuda company, acquires and manages insurance and reinsurance companies in run-off and provides management, consultancy and other services to the insurance and reinsurance industry.
Completion of the transaction is conditioned on, among other things, regulatory approval and satisfaction of various customary closing conditions. The transaction is expected to close in the second quarter of 2011.

CNO Financial Group, Inc. Announces Completion of Refinancing
CNO Financial Group, Inc. (NYSE:CNO - News) announced today that it has closed its offering of $275.0 million aggregate principal amount of 9.00% senior secured notes due January 2018 and a $375.0 million senior secured credit facility which matures in September 2016. The net proceeds from the notes offering and the new senior secured credit facility, together with available cash, were used to repay the Company's prior senior secured credit facility.
"We are extremely pleased with the success of our comprehensive refinancing plan, which, due to significant demand and favorable pricing, was increased to $650 million from $625 million," CEO Jim Prieur said. "CNO now has a strengthened capital structure with a significant lengthening of the maturity of our debt, giving us increased financial flexibility, including the ability to buy back stock," Prieur said.
The notes were offered and sold to "qualified institutional buyers" as defined in Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States in reliance on Regulation S under the Securities Act.
